Terms and Conditions

These Terms and Conditions ("Terms") apply to the use of the mobile application and website (the "Products") provided by Vision N LLC under the trademark "Helify". By using our Products, you agree to comply with and be bound by these Terms.

Interpretation and Definitions

Vision N ("we," "us," or "our") refers to Vision N LLC, a company organized and existing under the laws of the United Arab Emirates, with its registered address at: Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E.

Software means the software developed by Vision N under the "Helify" trademark, which is intended to provide internet/mobile data connection to travelers.

Website is the website currently located at: https://www.helify.app/en

Mobile application means the application developed by Vision N under the "Helify" trademark for use of the Software.

Customer ("you", "your") means a person who wants to use, or uses, the Software and/or Website.

General Terms

1. These Terms form a legally binding agreement between you and us.
2. We reserve the right to update or modify these Terms at any time without prior notice. The latest version of these Terms will be posted on our Website and/or in the Software, and you should review them regularly.
3. We may also provide additional terms and conditions or policies that apply to specific features or services of our Products. Your use of those features or services is subject to those additional terms, which are incorporated into these Terms by reference.
4. If you do not agree to these Terms, you should not access or use our Products. Continued use of our Products constitutes your agreement to these Terms.

Use of Products

1. You may use our Products only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our Products complies with all applicable laws and regulations.
2. You must not use our Products in any way that could damage, disable, overburden, or impair our Products, or interfere with any other party's use of our Products.
3. You must not use any manual or automated software, devices, or other processes to "crawl," "spider," or "scrape" any content from our Products.
4. You are solely responsible for any data, information, or content that you upload, transmit, or otherwise make available through our Products, and you represent that you have all necessary rights and permissions to do so.

Subscriptions and Fees

All eSIM plans and fees are stated in the Software at the time of purchase.

Fee changes. We may change the prices (fees) for our Products at any time at our discretion. Any such changes will not affect a plan that has already been purchased.

Intellectual Property Rights

1. We own all intellectual property rights in our Products and their content, including but not limited to text, graphics, images, logos, and software.
2. You may not use any of our intellectual property without our prior written consent.
3. You retain ownership of any data, information, or content you upload, transmit, or otherwise make available through our Products. By doing so, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit such content in connection with operating and improving our Products, without further notice to or consent from you, and without payment to you.

Disclaimer of Warranties

1. The Products are provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Products will meet your requirements, operate uninterrupted, or be error-free.
2. We make no representation or warranty as to the availability of the Products, the accuracy or reliability of information provided through the Products, or that the Products or communications sent from or on our behalf are free of errors.
3. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, the exclusions in this section apply to the fullest extent permissible under applicable law.

Limitation of Liability

1. We will not be liable for any indirect, consequential, incidental, or punitive damages arising from the use of our Products.
2. Our total liability for any direct damage arising from the use of our Products shall not exceed the amount you paid, if any, for the use of our Products.
3. We are not liable for any loss or damage arising from your reliance on any information or content provided through our Products.
4. Some jurisdictions may not allow the exclusion or limitation of certain liability, so the above limitations may not apply to you.

Events Outside Our Control

We will not be liable for any failure or delay in performing our obligations under these Terms caused by events outside our reasonable control, including acts of God, war, civil commotion, interruption of public communications networks, industrial disputes, or DDoS and similar attacks ("Force Majeure"). Our obligations will be suspended for the duration of the Force Majeure event, and we will use reasonable efforts to resolve it.

Indemnification

You agree to indemnify, defend, and hold harmless Vision N LLC and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising from or related to your use or misuse of our Products or your violation of these Terms.

Termination

We reserve the right to terminate your access to our Products, or any part of them, at any time, without notice, for any reason, including if we believe you have violated these Terms. When you delete your account or the Helify app, we delete all of your data from our systems immediately, except where we are required by applicable law to retain certain records for a longer period.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates (Dubai), without regard to conflict-of-law principles. If you have any concern or dispute about the Products, you agree to first try to resolve it informally by contacting us. If the dispute is not resolved within sixty (60) calendar days, it shall be submitted to the exclusive jurisdiction of the courts of Dubai, U.A.E.

Miscellaneous

1. These Terms constitute the entire agreement between you and us regarding the use of our Products.
2. If any provision of these Terms is found invalid or unenforceable, it will be modified to the extent necessary to make it enforceable or, if that is not possible, severed, with the remaining provisions remaining in full force.
3. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
4. These Terms may not be assigned, transferred, or sub-licensed by you without our prior written consent.
5. Headings are for convenience only and do not affect the interpretation of these Terms.
